Terms of Service

The terms and conditions that govern your use of the TryOpenClaw platform.

These Terms of Service ("Terms") govern your access to and use of the TryOpenClaw platform at tryopenclaw.cloud (the "Service"), operated by TryOpenClaw ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service, you confirm that you are at least 16 years old (or the age of majority in your jurisdiction) and that you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

TryOpenClaw is a managed platform for deploying and managing instances of OpenClaw, an open-source AI assistant. The Service provides infrastructure provisioning, instance management, monitoring, and billing for your OpenClaw deployments.

3. Account Registration

  • You must create an account through our authentication provider (Clerk) to use the Service.
  • You are responsible for providing accurate and complete registration information.
  • You are responsible for maintaining the security of your account credentials and for all activities that occur under your account.
  • You must notify us immediately at contact@tryopenclaw.cloud if you suspect unauthorized access to your account.

4. Subscription and Payments

  • The Service offers subscription-based pricing plans. Current pricing and plan details are available on our website.
  • All payments are processed securely through Stripe.
  • Subscriptions are billed on a recurring basis (monthly or annually, as selected). You authorize us to charge your payment method on each billing cycle.
  • All fees are non-refundable except where required by applicable law or as expressly stated in our refund policy. If you believe you are entitled to a refund, contact us at contact@tryopenclaw.cloud.
  • We reserve the right to change pricing with at least 30 days' advance notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

5. Acceptable Use

You may use the Service to:

  • Deploy and manage OpenClaw instances for lawful personal or business purposes
  • Configure and customize your OpenClaw instances within the capabilities provided by the Service
  • Access documentation and support resources provided by TryOpenClaw

6. Prohibited Activities

You agree not to use the Service to:

  • Violate any applicable local, state, national, or international law or regulation
  • Generate, distribute, or facilitate the creation of illegal content, including but not limited to child sexual abuse material (CSAM), content that incites violence, or content that violates third-party intellectual property rights
  • Engage in harassment, abuse, threats, or intimidation of any individual or group
  • Distribute malware, viruses, or any other harmful software through your deployed instances
  • Attempt to gain unauthorized access to other users' accounts, instances, or data, or to TryOpenClaw's internal systems
  • Circumvent, disable, or interfere with any usage limits, rate limits, security features, or restrictions of the Service
  • Reverse engineer, decompile, or disassemble any part of the TryOpenClaw platform (this does not restrict your rights regarding the open-source OpenClaw software itself)
  • Resell, sublicense, or redistribute the Service without our written permission
  • Use the Service to send unsolicited communications (spam) or for phishing
  • Engage in cryptocurrency mining or any resource-intensive activity not related to operating your OpenClaw instances

Violation of these prohibitions may result in immediate suspension or termination of your account without notice.

7. Open-Source Software

The Service deploys OpenClaw, which is open-source software available at openclaw.ai. OpenClaw is governed by its own open-source license, which you are responsible for reviewing and complying with. TryOpenClaw is not the developer of OpenClaw and provides the platform as a hosting and management layer.

Your use of the OpenClaw software through our Service is subject to both these Terms and the applicable OpenClaw open-source license. In the event of a conflict between these Terms and the OpenClaw license regarding the software itself, the open-source license prevails for that software.

8. Intellectual Property

  • The TryOpenClaw platform, including its design, features, and proprietary code (excluding open-source components), is owned by TryOpenClaw and protected by applicable intellectual property laws.
  • OpenClaw and its associated trademarks belong to the OpenClaw project and are used in accordance with the applicable open-source license.
  • Nothing in these Terms grants you any right to use our trademarks, logos, or branding without our prior written consent.

9. User Data and Content

  • You retain ownership of all data and content you create, upload, or process through the Service ("User Content").
  • By using the Service, you grant us a limited, non-exclusive license to host, store, and process your User Content solely as necessary to provide and maintain the Service.
  • You are solely responsible for the legality, reliability, and appropriateness of your User Content and for ensuring that your use of the Service complies with all applicable laws.
  • We do not access, review, or monitor User Content except as necessary to provide the Service, comply with legal obligations, or enforce these Terms.

10. Service Availability

  • We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation.
  • Scheduled maintenance windows will be communicated in advance whenever possible.
  • We are not liable for any downtime, data loss, or service interruptions caused by factors beyond our reasonable control, including third-party service outages, natural disasters, or network failures.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
  • IN NO EVENT SHALL TRYOPENCLAW BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL.
  • OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO TRYOPENCLAW IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless TryOpenClaw and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorney's fees) arising out of or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your User Content
  • Your violation of any third-party rights

13. Termination

  • You may terminate your account at any time through your account settings or by contacting us at contact@tryopenclaw.cloud.
  • We may suspend or terminate your account immediately if you violate these Terms, or with 30 days' notice for any other reason.
  • Upon termination, you will have a 30-day window to export your data. After this period, your data will be permanently deleted in accordance with our Privacy Policy.
  • Termination does not relieve you of the obligation to pay any outstanding fees.
  • Sections that by their nature should survive termination will survive, including Limitation of Liability, Indemnification, and Dispute Resolution.

14. Dispute Resolution

  • These Terms are governed by and construed in accordance with applicable law, without regard to conflict of law principles.
  • Any dispute arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, the parties agree to attempt mediation before pursuing formal legal action.
  • Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction.

15. Severability and Waiver

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of that right or provision.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes via email or an in-app notification. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must discontinue use of the Service.
